General Terms & Conditions

These General Terms and Conditions (the "Agreement") govern the provision of consultancy services by Wouter van der Hucht (the "Consultant") to the Client (the "Client") and constitute a legally binding agreement between both parties.

By engaging the services of the Consultant, the Client acknowledges that they have read, understood, and agreed to abide by these General Terms and Conditions.

1. Scope of Services

The Consultant agrees to provide consultancy services as described in the agreed-upon project scope. The specific details of the services, deliverables, timelines, and fees can be outlined in a separate written agreement or statement of work (SOW), or other written communication (e.g. email, WhatsApp message, etc.), mutually agreed upon by both parties.

2. Independent Contractor Relationship

The Consultant is an independent contractor and not an employee, partner, or agent of the Client. This Agreement does not create any joint venture, partnership, or employer-employee relationship between the parties. The Consultant is solely responsible for the manner and means the services are performed.

3. Intellectual Property Rights

Any intellectual property rights created or developed by the Consultant during the provision of services shall be the Client's property unless otherwise agreed upon in writing. The Consultant agrees to assign and transfer all such rights to the Client upon payment of the agreed-upon fees.

4. Fees and Payment Terms

The client agrees to make timely payments to the Consultant for the services provided. If payment is made after the due date, the Client may be subject to interest charges or other penalties as agreed upon beforehand. The due dates for payment are mentioned on the invoices, and we trust that the Client will make every effort to make the payment on or before the due date.

 

If payment is not received on the due date, we will send a gentle reminder via email on the due date and another reminder five workdays after the due date. If the payment still needs to be fulfilled, we will send a final notice ten workdays after the due date, requesting the Client to make the immediate payment of all open invoices.

 

If the Client fails to make the payment despite our efforts, we will outsource the collection of all open invoices.

5. Termination

Either party may terminate this Agreement upon written notice to the other party. Upon termination, the Client shall pay the Consultant for all services and costs rendered up to the effective termination date. 

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed under the laws of The Netherlands. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in The Netherlands.

7. Entire Agreement

This Agreement constitutes the entire Agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.

8. Amendments

Any amendments or modifications to this Agreement must be in writing and signed by both parties.
